1. Definitions

For purposes of these Terms, the following capitalized terms shall have the meanings set forth below:

2.1 Description of the Services

Minerva is a document intelligence platform provided by ServeusAI that enables Customers to collect, store, organize, process, analyze, validate, transform, and extract information from Documents.

The Services may include, without limitation:

ServeusAI may modify, enhance, improve, replace, or discontinue individual features of the Services from time to time, provided that such changes do not materially reduce the overall functionality of the Services purchased by the Customer.

2.2 Customer-Controlled Data Management

The Services are designed to allow Customers to manage the storage, retention, validation, processing, and export of Customer Content.

Subject to the functionality available within the Services, Customers may determine retention periods for Documents, Extracted Data, Validation Data, Correction Data, and other Customer Content stored within their Workspace.

Customers may export or delete Customer Content using the functionality provided by the Services, subject to technical limitations, legal obligations, and backup retention requirements.

2.3 Human Validation and Review

The Services may enable Customers and Authorized Users to review, validate, approve, reject, correct, or otherwise modify Output generated by the Services.

Customers acknowledge that human review and validation may be necessary to ensure the accuracy, completeness, suitability, or compliance of Output for the Customer's intended use case.

ServeusAI does not guarantee that any Output will be complete, accurate, error-free, or suitable for any particular purpose.

2.4 Use of Artificial Intelligence Technologies

The Services may utilize artificial intelligence, machine learning, OCR technologies, large language models, and other automated processing technologies to generate Output from Customer Content.

ServeusAI continuously develops, tests, evaluates, and improves the Services with the objective of providing reliable and accurate document processing and extraction capabilities.

However, due to the probabilistic and automated nature of such technologies, Output may contain inaccuracies, omissions, misclassifications, hallucinations, formatting issues, or other errors.

Customers are solely responsible for reviewing and determining whether Output is appropriate for their intended use before relying upon or acting on such Output.

2.5 No Training on Customer Content

ServeusAI will not use Customer Content, Documents, Extracted Data, Validation Data, Correction Data, Output, or other Customer-specific information for the training, retraining, fine-tuning, optimization, or improvement of machine learning models, large language models, foundation models, or similar artificial intelligence systems.

Customer Content shall be processed solely for the purpose of providing, operating, maintaining, supporting, securing, monitoring, and improving the Services, complying with applicable legal obligations, administering Customer Accounts, calculating Credits and usage-based charges, preventing abuse, performing troubleshooting activities, and resolving technical or customer support issues.

ServeusAI may collect, generate, and use operational, technical, billing, consumption, performance, security, and usage-related information regarding the Services, including information relating to Credit consumption, storage utilization, processing volumes, API activity, system performance, and service reliability.

ServeusAI may also create and use aggregated and anonymized statistics, metrics, and analytics derived from the operation of the Services, provided that such information does not identify, and cannot reasonably be used to identify, any Customer, Authorized User, Document, Customer Content, Personal Data, or business activity of a Customer.

For the avoidance of doubt, aggregated and anonymized operational metrics shall not be considered Customer Content.

2.6 Third-Party Technology Providers

In providing the Services, ServeusAI may utilize third-party infrastructure providers, AI Providers, and Subprocessors.

Certain processing activities may involve the use of third-party AI technologies or services, including technologies provided by external AI Providers selected by ServeusAI.

ServeusAI shall implement appropriate contractual, organizational, and technical safeguards when engaging such providers and shall remain responsible for managing such relationships in accordance with applicable law and these Terms.

2.7 Availability of the Services

ServeusAI will use commercially reasonable efforts to make the Services available and operational.

The Services may be temporarily unavailable due to maintenance, updates, infrastructure issues, security measures, third-party service interruptions, force majeure events, or circumstances beyond ServeusAI's reasonable control.

Unless expressly agreed otherwise in writing, no specific service level, uptime commitment, or availability guarantee is provided.

3. Accounts and Authorized Users

3.1 Eligibility

The Services are intended for use by businesses, organizations, and individuals who are legally capable of entering into binding agreements.

If an individual accesses or uses the Services on behalf of a company, organization, or other legal entity, such individual represents and warrants that they have the authority to bind such entity to these Terms.

3.2 Account Registration

To access certain features of the Services, a Customer must create an Account and provide accurate, complete, and current information.

The Customer agrees to promptly update any information that becomes inaccurate or outdated.

ServeusAI may rely upon the information associated with an Account when administering the Services and communicating with the Customer.

3.3 Authorized Users

Subject to the Customer's subscription plan and applicable Usage Limits, the Customer may authorize Authorized Users to access and use the Services.

The Customer is responsible for:

Any act or omission of an Authorized User shall be deemed an act or omission of the Customer for purposes of these Terms.

3.4 Account Security

The Customer is responsible for maintaining the confidentiality and security of login credentials, authentication methods, API keys, access tokens, and other account security mechanisms associated with the Services.

The Customer shall promptly notify ServeusAI of any:

ServeusAI is not responsible for losses resulting from the Customer's failure to maintain appropriate account security.

3.5 Account Sharing

Account credentials may not be shared between multiple individuals except where expressly permitted by the functionality of the Services.

Each Authorized User should maintain their own individual credentials whenever such functionality is available.

The Customer shall not attempt to circumvent user licensing, Usage Limits, security controls, or access restrictions implemented by ServeusAI.

3.6 Workspace Administration

The Customer may designate one or more Authorized Users as Workspace administrators.

Workspace administrators may be granted authority to:

The Customer acknowledges that actions performed by Workspace administrators may affect all Customer Content and Authorized Users associated with the applicable Workspace.

3.7 Credit Consumption and Usage Responsibility

The Customer is responsible for all Credit consumption, storage utilization, API usage, processing activity, and other usage occurring under its Account or Workspace, whether initiated directly by the Customer, an Authorized User, an integration, an automated workflow, or another system authorized by the Customer.

ServeusAI shall have no obligation to monitor, limit, or prevent Credit consumption initiated by the Customer or its Authorized Users except as expressly stated in the applicable subscription plan or technical documentation.

3.8 Suspension of Access

ServeusAI may suspend or restrict access to all or part of the Services if:

Where reasonably practicable, ServeusAI will provide prior notice of any suspension and an opportunity to remedy the underlying issue.

3.9 Responsibility for Customer Activity

The Customer remains solely responsible for:

4. Subscription, Credits and Fees

4.1 Subscription Access

Access to the Services is provided on a subscription basis pursuant to an applicable order form, quotation, subscription plan, invoice, online purchase flow, or other commercial arrangement agreed between the Customer and ServeusAI.

The scope of access to the Services, including available functionality, Usage Limits, storage capacity, processing capabilities, Credit allocations, and pricing, shall be determined by the Customer's applicable subscription plan.

4.2 Fees

The Customer agrees to pay all applicable Fees associated with its use of the Services.

Fees may include:

4.3 Minerva Platform Usage Credits or Credits

Certain functionality of the Services may require the consumption of Credits.

Credits may be consumed through activities including, without limitation:

The number of Credits required for specific activities may be described in the Services, technical documentation, pricing materials, or applicable subscription plans.

ServeusAI may reasonably modify Credit consumption rules from time to time, provided such modifications do not retroactively affect Credits already consumed.

Purchased Minerva Platform Usage Credits shall become available to the Customer upon acceptance of the applicable Purchase Order by ServeusAI, unless otherwise expressly agreed in writing.

ServeusAI may, at its sole discretion, grant complimentary, promotional, trial, evaluation, goodwill, or service credits without charge. Such credits do not constitute a sale, have no cash value, are non-transferable, and may be subject to separate conditions determined by ServeusAI.

4.4 Acceptance of Purchase Orders

A Purchase Order constitutes a binding offer by the Customer to purchase the specified Minerva Platform Usage Credits.

ServeusAI may accept or reject any Purchase Order at its sole discretion.

A Purchase Order is deemed accepted when ServeusAI issues an invoice, countersigns the Purchase Order, makes the purchased Credits available to the Customer, or otherwise communicates its acceptance to the Customer.

4.5 Credit Balance and Expiration

Purchased Credits shall remain valid until used and shall not expire solely due to the passage of time.

Unused Credits may be carried forward for the duration of the Customer's subscription and any renewal periods.

Promotional, trial, complimentary, or otherwise non-purchased Credits may be subject to separate conditions, limitations, or expiration periods as communicated by ServeusAI.

Unless expressly stated otherwise, Credits:

4.6 Usage Monitoring

ServeusAI may monitor Credit consumption, storage utilization, processing activity, API usage, and other operational metrics necessary to administer the Services.

The Customer acknowledges that usage calculations maintained by ServeusAI shall serve as the authoritative record for billing and service administration purposes unless the Customer demonstrates a material error.

4.7 Invoicing and Payment

Fees shall be invoiced and payable in accordance with the applicable subscription plan, Purchase Order, order form, quotation, invoice, or other commercial agreement.

Unless otherwise agreed in writing or specified in the applicable Purchase Order, invoices relating to the purchase of Minerva Platform Usage Credits are payable within eight (8) calendar days from the invoice date.

All other invoices are payable within thirty (30) days from the invoice date.

Late payments may result in:

4.8 Taxes

All Fees are exclusive of taxes unless expressly stated otherwise.

The Customer is responsible for all applicable taxes, duties, levies, withholding taxes, value-added taxes (VAT), goods and services taxes (GST), or similar governmental charges associated with the purchase or use of the Services, excluding taxes based on ServeusAI's net income.

4.9 Subscription Changes

The Customer may purchase additional Credits, increase Usage Limits, add Authorized Users, expand storage capacity, or upgrade subscription plans subject to the commercial terms offered by ServeusAI.

Any modification to a subscription may result in adjusted Fees, revised Usage Limits, or updated billing arrangements.

Additional Credits may be purchased through a Purchase Order or such other ordering mechanism as ServeusAI may make available.

4.10 Failure to Pay

If the Customer fails to pay Fees when due, ServeusAI may, after providing reasonable notice:

The Customer shall remain responsible for all Fees accrued prior to any suspension or termination.

5. Customer Content

5.1 Ownership of Customer Content

As between the parties, the Customer retains all right, title, and interest in and to all Customer Content.

Nothing in these Terms transfers ownership of any Customer Content to ServeusAI.

Customer Content includes, without limitation:

5.2 Limited License to ServeusAI

The Customer grants ServeusAI a limited, non-exclusive, non-transferable (except as permitted under these Terms), worldwide license to host, store, process, transmit, reproduce, access, and otherwise use Customer Content solely to:

No rights are granted to ServeusAI other than those expressly stated in these Terms.

5.3 Ownership of Output and Extracted Data

As between the parties, all Output, Extracted Data, Validation Data, and Correction Data generated or maintained within the Customer's Workspace shall belong to the Customer.

ServeusAI claims no ownership interest in such data.

The Customer may access, export, copy, transfer, or delete such data using the functionality made available through the Services, subject to applicable law and technical limitations.

5.4 Customer Responsibilities

The Customer is solely responsible for:

ServeusAI shall have no obligation to independently verify the legality, ownership, or accuracy of Customer Content.

5.5 Personal Data and Sensitive Personal Data

The Services may be used to process Documents and Customer Content that contain Personal Data or Sensitive Personal Data.

The Customer acknowledges and agrees that it is solely responsible for determining whether it has the legal authority, lawful basis, consent, authorization, or other legal justification required to upload, store, process, validate, extract, export, or otherwise use such information through the Services.

Nothing in these Terms shall be interpreted as prohibiting the processing of Personal Data or Sensitive Personal Data through the Services where such processing is permitted under applicable law.

5.6 No Use of Customer Content for Model Training

ServeusAI will not use Customer Content, Documents, Output, Extracted Data, Validation Data, Correction Data, Personal Data, or Sensitive Personal Data for:

This restriction applies regardless of whether such information is submitted directly by the Customer or generated through use of the Services.

5.7 Customer Corrections and Validation Activities

Correction Data and Validation Data remain Customer Content and shall remain the property of the Customer.

ServeusAI may store and process such information solely for the purpose of providing the Services and maintaining the Customer's Workspace.

For the avoidance of doubt, Correction Data and Validation Data shall not be used for model training, model improvement, retraining, fine-tuning, or similar machine learning purposes.

5.8 Deletion and Export of Customer Content

Subject to applicable law, technical limitations, backup retention requirements, and the Customer's configured retention settings, the Customer may export or delete Customer Content through the Services.

Following termination of the Services, ServeusAI may delete Customer Content in accordance with its retention policies and these Terms.

Certain information may be retained where required:

5.9 Operational and Usage Data

Notwithstanding anything to the contrary in these Terms, ServeusAI may collect, generate, and use operational, technical, performance, billing, security, and usage-related information relating to the operation of the Services.

Such information may include:

Operational and usage data shall not be considered Customer Content to the extent such information does not identify and cannot reasonably be used to identify Customer Content, Personal Data, Sensitive Personal Data, or the confidential business information of a Customer.

ServeusAI may use such information for service administration, billing, security, capacity planning, troubleshooting, analytics, product improvement, and operational purposes.

6. Data Protection and GDPR

6.1 Roles of the Parties

To the extent that Customer Content contains Personal Data, the parties acknowledge and agree that:

The Customer determines the purposes and means for which Personal Data is collected, uploaded, stored, processed, validated, extracted, exported, or otherwise used through the Services.

ServeusAI processes Personal Data solely on behalf of and in accordance with the Customer's documented instructions as set forth in these Terms and through the Customer's use of the Services.

6.2 Customer Responsibilities

The Customer is solely responsible for:

The Customer represents and warrants that its use of the Services and its processing of Customer Content complies with all applicable Data Protection Laws.

6.3 ServeusAI Processing Commitments

ServeusAI shall:

ServeusAI shall not sell Customer Personal Data or use Customer Personal Data for advertising purposes.

6.4 No AI Training on Customer Personal Data

ServeusAI will not use Personal Data, Sensitive Personal Data, Documents, Output, Extracted Data, Validation Data, Correction Data, or other Customer Content for:

Such information shall be processed solely for the purpose of providing, operating, maintaining, securing, supporting, and administering the Services.

6.5 Security Measures

ServeusAI maintains an information security program aligned with ISO 27001 principles.

ServeusAI implements reasonable and appropriate technical and organizational measures designed to protect Customer Content and Personal Data against unauthorized access, disclosure, alteration, loss, destruction, or misuse.

Such measures may include:

ServeusAI may modify its security measures from time to time provided that the overall level of protection is not materially reduced.

6.6 Data Subject Requests

If ServeusAI receives a request from a data subject relating to Personal Data processed on behalf of a Customer, ServeusAI may:

Unless required by applicable law, ServeusAI shall not independently respond to such requests without the Customer's authorization.

6.7 Personal Data Breach Notification

In the event of a confirmed Personal Data breach affecting Customer Personal Data, ServeusAI shall notify the Customer without undue delay after becoming aware of the breach.

Such notification shall include information reasonably available to ServeusAI concerning:

ServeusAI's obligation to notify shall not constitute an admission of fault or liability.

6.8 Subprocessors

The Customer authorizes ServeusAI to engage Subprocessors in connection with the provision of the Services.

ServeusAI shall:

A current list of Subprocessors may be maintained and published by ServeusAI.

ServeusAI may update its Subprocessors from time to time as necessary to provide and improve the Services.

6.9 International Data Transfers

ServeusAI primarily hosts Customer Content within the European Union using infrastructure operated by Microsoft Azure.

The Customer acknowledges that certain processing activities may involve third-party AI Providers or Subprocessors located outside the European Union or European Economic Area.

Where Personal Data is transferred internationally, ServeusAI shall implement appropriate safeguards as required under applicable Data Protection Laws, including, where applicable:

6.10 Retention and Deletion

Customer Content shall be retained in accordance with the Customer's configured retention settings and the functionality of the Services.

The Customer may delete Customer Content or request deletion of Customer Content through the Services, subject to applicable law and technical limitations.

Operational logs and security-related records may be retained for up to ninety (90) days or longer where required for security, legal, compliance, or dispute resolution purposes.

Following termination of the Services, ServeusAI may delete Customer Content in accordance with its retention policies unless retention is required by law.

6.11 Demonstration of Compliance

Upon reasonable written request and no more than once annually, ServeusAI may provide information reasonably necessary to demonstrate compliance with its obligations under this Section.

ServeusAI may satisfy such requests through security documentation, certifications, policies, summaries, questionnaires, or other materials it makes available to Customers.

Nothing in this Section shall require ServeusAI to disclose confidential information, trade secrets, system architecture details, vulnerability information, or information relating to other customers.

7. AI Services and AI Act Compliance

7.1 Nature of the Services

The Services utilize artificial intelligence, machine learning, OCR technologies, large language models, and other automated technologies to assist Customers in processing, classifying, extracting, organizing, and validating information contained within Documents.

The Services are intended to support document intelligence workflows and are not designed to independently make legal, financial, employment, healthcare, insurance, credit, or other decisions that produce legal effects or similarly significant effects on individuals.

The Customer remains solely responsible for all decisions, actions, conclusions, and outcomes arising from its use of the Services.

7.2 Output Accuracy and Human Review

ServeusAI continuously develops, tests, validates, and improves the Services with the objective of providing reliable, accurate, and high-quality document processing and extraction capabilities.

However, the Customer acknowledges that artificial intelligence and automated processing technologies are probabilistic in nature and may generate inaccurate, incomplete, inconsistent, outdated, or otherwise incorrect Output.

Output may contain:

The Customer is responsible for reviewing, validating, and determining the suitability of Output before relying upon or acting on such Output.

Where appropriate, Customers should implement human review, verification, approval, or quality assurance processes before using Output in business operations or decision-making processes.

7.3 Customer Responsibility for Use Cases

The Customer is solely responsible for determining whether its use of the Services complies with:

The Customer is responsible for evaluating whether its intended use of the Services falls within a regulated, restricted, high-risk, or otherwise legally sensitive use case under applicable law.

ServeusAI does not provide legal advice regarding the Customer's regulatory obligations.

7.4 Prohibited Uses

The Customer shall not use the Services:

The Customer remains solely responsible for ensuring that its use of the Services is lawful and appropriate.

7.5 Third-Party AI Technologies

The Services may incorporate or rely upon technologies provided by third-party AI Providers.

ServeusAI does not control the operation, availability, performance, or future functionality of third-party AI technologies and makes no warranty regarding the continued availability of any specific AI model, provider, or feature.

ServeusAI may replace, modify, or discontinue the use of any third-party AI Provider where reasonably necessary to maintain, improve, secure, or operate the Services.

7.6 No Reliance for Critical Decisions

Unless expressly agreed otherwise in writing, the Services are not intended to serve as the sole basis for decisions involving:

Customers should implement appropriate human oversight and independent verification procedures when using the Services in connection with such matters.

7.7 Regulatory Cooperation

Where reasonably necessary to comply with applicable law, ServeusAI may provide information relating to the operation of the Services, including documentation, descriptions of functionality, or information regarding implemented safeguards.

Nothing in this Section shall require ServeusAI to disclose confidential information, trade secrets, source code, proprietary models, security-sensitive information, or information relating to other customers.

8. Intellectual Property Rights

8.1 Ownership of the Services

The Services, including Minerva, and all related software, technology, algorithms, workflows, methodologies, interfaces, APIs, documentation, designs, user interfaces, databases, infrastructure, know-how, trade secrets, proprietary processes, and intellectual property rights therein are and shall remain the exclusive property of ServeusAI and its licensors.

Except for the limited rights expressly granted under these Terms, no rights, title, or interest in or to the Services are transferred to the Customer.

8.2 Reservation of Rights

ServeusAI reserves all rights not expressly granted to the Customer under these Terms.

No implied licenses shall be granted under these Terms.

8.3 Customer Content Ownership

Customer Content remains subject to Section 5 (Customer Content).

Nothing in this Section transfers ownership of Customer Content to ServeusAI.

8.4 Platform Improvements and Developments

ServeusAI retains all rights, title, and interest in and to:

The Customer acknowledges that no ownership rights in such developments arise solely because the Customer uses the Services, provides Customer Content, validates Output, submits Correction Data, or interacts with the Services.

For the avoidance of doubt, no Validation Data, Correction Data, Customer feedback, support request, feature request, usage pattern, or Customer interaction shall confer upon the Customer any ownership interest in the Services or any future development of the Services.

8.5 Feedback

If the Customer or any Authorized User provides suggestions, recommendations, enhancement requests, feature requests, comments, ideas, or other feedback regarding the Services ("Feedback"), ServeusAI may use, modify, implement, reproduce, distribute, commercialize, and otherwise exploit such Feedback without restriction and without any obligation to compensate the Customer or any third party.

Feedback shall not be considered confidential information unless expressly agreed otherwise in writing.

8.6 No Rights to Models, Systems, or Methodologies

The Customer acquires no rights in or to:

All such rights remain exclusively vested in ServeusAI and its licensors.

8.7 Restrictions on Reverse Engineering

Except to the extent prohibited by applicable law, the Customer shall not, and shall not permit any third party to:

8.8 Benchmarking and Competitive Analysis

The Customer shall not publish, disclose, distribute, or otherwise make available any benchmark, performance test, competitive analysis, evaluation, comparison, or review of the Services without ServeusAI's prior written consent.

This restriction shall not limit disclosures required by applicable law.

8.9 Trademarks

The name "Minerva", the ServeusAI name, logos, trademarks, service marks, trade dress, and branding elements are the property of ServeusAI or its licensors.

Except as expressly permitted by ServeusAI in writing, the Customer shall not use such marks in a manner that suggests endorsement, partnership, sponsorship, or affiliation.

8.10 Open Source Components

The Services may include or utilize third-party open source software components.

Such components remain subject to their respective open source licenses, and nothing in these Terms modifies or supersedes those licenses.

8.11 Restrictions on Competitive Use and Model Extraction

The Customer shall not, and shall not permit any third party to, use the Services, Output, Extracted Data, APIs, Documentation, or other information obtained through the Services for the purpose of:

The Customer shall not use automated means, bulk extraction techniques, repeated querying, adversarial testing, prompt-based attacks, model extraction techniques, or other methods designed to discover, reconstruct, reproduce, benchmark, or emulate the internal operation of the Services.

Nothing in this Section shall prohibit the Customer from using Output, Extracted Data, Validation Data, or Correction Data for its own internal business purposes, analytics, reporting, compliance activities, operational processes, or business decision-making.

9. Acceptable Use and Customer Restrictions

9.1 Lawful Use

The Customer shall use the Services only in compliance with applicable laws, regulations, court orders, governmental requirements, and industry obligations.

The Customer shall not use the Services in any manner that is unlawful, fraudulent, deceptive, harmful, or abusive.

9.2 Responsibility for Customer Content

The Customer is solely responsible for all Customer Content uploaded, stored, processed, validated, exported, or otherwise used through the Services.

ServeusAI does not review Customer Content as part of its ordinary operations and assumes no responsibility for the legality, accuracy, quality, ownership, or appropriateness of Customer Content.

9.3 Prohibited Content

The Customer shall not use the Services to store, process, distribute, generate, or facilitate:

Except as expressly permitted through the Services, APIs, or technical documentation, the Customer shall not use automated tools, scripts, bots, crawlers, scraping tools, or similar technologies in a manner that:

9.7 Competitive and Adversarial Activities

The Customer shall not use the Services for:

9.8 Excessive or Abusive Usage

The Customer shall not use the Services in a manner that:

ServeusAI may implement technical controls, rate limits, storage limits, processing limits, or other measures necessary to protect the Services and its customers.

9.9 Export Control and Sanctions Compliance

The Customer shall comply with all applicable export control, trade compliance, sanctions, and import laws.

The Customer shall not use the Services in violation of applicable sanctions programs or restrictions imposed by governmental authorities.

9.10 Monitoring and Enforcement

ServeusAI may investigate suspected violations of these Terms and may take reasonable actions necessary to:

9.11 Suspension for Violations

ServeusAI may suspend or restrict access to the Services immediately where it reasonably believes that:

10. Security

10.1 Information Security Program

ServeusAI maintains an information security program aligned with ISO 27001 principles and designed to protect the confidentiality, integrity, and availability of the Services and Customer Content.

The information security program includes administrative, technical, and organizational measures appropriate to the nature of the Services and the risks associated with document processing and data management activities.

The Customer acknowledges that no hosting environment, infrastructure provider, software system, or network can be guaranteed to be completely secure or uninterrupted.

10.4 Access Controls

ServeusAI limits access to Customer Content to personnel, contractors, and service providers who require such access to perform authorized operational, support, security, maintenance, or compliance functions.

Persons granted such access are subject to appropriate confidentiality obligations and access controls.

ServeusAI maintains procedures designed to provision, review, modify, and revoke access rights as appropriate.

10.5 Customer Security Responsibilities

The Customer is responsible for maintaining the security of its own systems, devices, accounts, credentials, networks, integrations, and users.

The Customer shall:

ServeusAI may maintain backup, redundancy, disaster recovery, and business continuity measures designed to support the resilience of the Services.

Backup and recovery mechanisms are intended to reduce the risk of data loss but do not guarantee the prevention of all data loss events.

Customers remain responsible for maintaining any backups they consider necessary for their business operations or legal obligations.

10.9 Security Cooperation

The Customer agrees to reasonably cooperate with ServeusAI in connection with:

10.10 No Absolute Security Guarantee

Accordingly, ServeusAI does not warrant that the Services will be immune from security incidents, cyberattacks, unauthorized access, service interruptions, or other security-related events.

10.11 Customer-Controlled Retention and Deletion

The Services provide Customers with tools to manage retention, deletion, export, and lifecycle management of Customer Content.

The Customer remains responsible for configuring retention settings appropriate for its legal, regulatory, contractual, and operational requirements.

11. Confidentiality

11.1 Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether in written, electronic, visual, oral, or other form, that reasonably should be understood to be confidential given the nature of the information or the circumstances of disclosure.

11.5 ServeusAI Confidential Information

The Customer acknowledges that the Services, Documentation, software, APIs, workflows, extraction methodologies, security controls, pricing information, technical information, and non-public features of the Services constitute Confidential Information of ServeusAI.

The Customer shall not disclose such information to third parties except as permitted by these Terms or required by law.

11.6 Compelled Disclosure

A Receiving Party may disclose Confidential Information where required by applicable law, regulation, court order, governmental authority, or legal process.

Where legally permitted, the Receiving Party shall provide prompt notice to the Disclosing Party and reasonably cooperate in seeking confidential treatment, protective orders, or other appropriate safeguards.

The Receiving Party shall disclose only the portion of Confidential Information legally required to be disclosed.

11.7 Duration of Confidentiality Obligations

The confidentiality obligations set forth in this Section shall remain in effect during the term of the Services and for five (5) years following termination or expiration of these Terms.

Notwithstanding the foregoing:

The parties acknowledge that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm for which monetary damages alone may be insufficient.

However, due to the nature of such technologies, ServeusAI does not warrant or guarantee that:

12.5 No Warranty of Uninterrupted Service

ServeusAI does not warrant the availability, performance, security, functionality, or continued operation of third-party services or technologies.

Changes, interruptions, limitations, deprecations, or discontinuation of third-party services may affect the Services.

12.7 Customer Decisions and Business Outcomes

The Customer remains solely responsible for:

The Services are provided as a technology platform and decision-support tool only.

12.8 No Guarantee of Regulatory Compliance

While the Services may support Customers in managing documents, records, workflows, and information, ServeusAI does not warrant that use of the Services alone will ensure compliance with:

The Customer remains responsible for determining and maintaining its own compliance obligations.

12.9 Disclaimer of Implied Warranties

To the maximum extent permitted by applicable law, and except as expressly stated in these Terms, the Services are provided on an "as available" basis and ServeusAI disclaims all implied warranties, conditions, representations, and guarantees, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, satisfactory quality, or results obtained from use of the Services.

Nothing in these Terms excludes or limits any warranty that cannot be excluded under applicable law.

12.10 Beta, Experimental, and Preview Features

If ServeusAI makes any beta, preview, experimental, early access, or evaluation features available in the future, such features may be provided without warranty and may be modified, suspended, or discontinued at any time.

The Customer uses such features at its own risk unless otherwise agreed in writing.

13. Limitation of Liability

13.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, neither party shall be liable to the other party for any:

13.2 Data Loss

To the maximum extent permitted by applicable law, ServeusAI shall not be liable for loss, corruption, alteration, destruction, or unavailability of Customer Content, Documents, Output, Extracted Data, Validation Data, Correction Data, or other Customer information.

The foregoing limitation shall not apply to the extent such loss results directly from ServeusAI's gross negligence or willful misconduct.

Customers remain responsible for maintaining any backups, exports, archives, or records they consider necessary for their business, legal, or regulatory requirements.

13.3 Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of ServeusAI arising out of or relating to the Services, these Terms, or any related claim shall not exceed the total Fees actually paid by the Customer to ServeusAI during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation applies collectively to all claims, causes of action, liabilities, damages, losses, costs, and expenses arising during the applicable period.

13.4 Application of Liability Limitations

The limitations and exclusions of liability set forth in this Section apply regardless of:

ServeusAI shall not be liable for decisions, actions, omissions, business outcomes, compliance outcomes, regulatory consequences, or other results arising from the Customer's reliance upon Output generated by the Services.

The Customer remains responsible for reviewing, validating, and determining the suitability of Output before relying upon it.

13.6 Third-Party Services

ServeusAI shall not be liable for failures, interruptions, inaccuracies, delays, security incidents, service degradation, or other issues attributable to:

The Customer shall defend, indemnify, and hold harmless ServeusAI, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any third-party claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:

14.4 Conditions of Indemnification

The Customer acknowledges that ServeusAI acts solely as a provider of document processing, storage, extraction, validation, workflow, and document intelligence services.

ServeusAI does not create, select, review, verify, approve, or control Customer Content and shall have no responsibility for the legality, accuracy, ownership, integrity, or regulatory status of Customer Content.

Accordingly, the Customer assumes full responsibility for Customer Content and all consequences arising from its use of the Services.

15. Suspension and Termination

15.1 Term

These Terms remain in effect for so long as the Customer accesses or uses the Services or maintains an active subscription.

15.2 Termination by the Customer

The Customer may terminate its subscription at any time in accordance with the subscription management functionality of the Services or by providing written notice to ServeusAI.

Termination shall not relieve the Customer of any obligation to pay Fees accrued prior to the effective date of termination.

15.3 Termination by ServeusAI

ServeusAI may terminate or suspend the Services, in whole or in part, upon written notice if:

15.4 Immediate Suspension

15.7 Deletion of Customer Content

Unless otherwise required by law, Customer Content may be permanently deleted following the expiration of the applicable post-termination retention period.

ServeusAI may delete Customer Content from active systems and backups in accordance with its retention and deletion procedures.

Following deletion, ServeusAI shall have no obligation to restore, recover, reconstruct, or provide access to Customer Content.

15.8 Credits Upon Termination

Credits purchased by the Customer remain associated with the Customer account.

Unless otherwise required by applicable law or expressly agreed in writing:

Where the Customer subsequently resumes a subscription for the same account, previously purchased unused Credits may remain available, subject to the functionality and policies of the Services at that time.

These Terms and any dispute, claim, or controversy arising out of or relating to the Services shall be governed by and construed in accordance with the laws of Hungary, without regard to conflict of law principles.

Applicable mandatory provisions of European Union law shall remain unaffected.

17.2 Good Faith Resolution

Before commencing formal legal proceedings, the parties shall use reasonable efforts to resolve any dispute through good-faith discussions.

Either party may notify the other party of a dispute and request discussions between authorized representatives.

17.3 Jurisdiction

Subject to applicable mandatory law, the courts of Budapest, Hungary shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

Each party irrevocably submits to the jurisdiction of such courts.

17.4 Injunctive Relief

Nothing in these Terms prevents either party from seeking injunctive relief, equitable relief, interim measures, or other urgent remedies before a court of competent jurisdiction where necessary to protect:
